Terms of Service

By accessing or using Song Maestro ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These Terms apply to all users, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2.1 Permitted Use Permission is granted to temporarily access and use Song Maestro for personal, non-commercial content creation. This is the grant of a license, not a transfer of title, and under this license you may not:

• Use the platform for any unlawful purpose
• Attempt to decompile or reverse engineer any software
• Remove any copyright or proprietary notations
• Transfer the platform rights to another person
• Use the platform to generate infringing content
• Exceed rate limits or abuse API access

2.2 Account Requirements - You must be at least 13 years old to use this platform - Users under 18 require parental/guardian consent - You are responsible for maintaining account security - You must provide accurate and complete registration information - You must notify us immediately of unauthorized use

2.3 Prohibited Content You agree NOT to use Song Maestro to generate content that: - Infringes any copyright, trademark, or other intellectual property - Contains copyrighted artist names or direct imitations (see our Copyright-Safe Prompting Guide) - Is defamatory, obscene, abusive, or harassing - Promotes violence, discrimination, or hate speech - Violates any applicable laws or regulations - Impersonates any person or entity - Contains malware or malicious code

3.1 Third-Party AI Services Song Maestro integrates with third-party AI services including but not limited to: - Suno: Music and lyrics generation - TemPolor: Music generation and audio processing - LTX Video: Video generation from text, images, and audio - Mureka: Music generation, fine-tuning, and extensions

Your use of these services is subject to both these Terms and the respective third-party terms of service. By using Song Maestro, you agree to comply with all applicable third-party terms.

3.2 Generation Limits and Availability - AI generation is subject to API availability and may experience downtime - We do not guarantee uninterrupted service - Generation times vary based on server load and complexity - Failed generations may occur and recovery tools are provided - We reserve the right to modify generation limits

3.3 Content Guidelines for AI Generation - You are responsible for all prompts and inputs you submit - Prompts must not violate copyright or intellectual property rights - You must follow our Copyright-Safe Prompting Guidelines - We reserve the right to reject or remove violating content - Repeated violations may result in account suspension

4.1 You Own Your Content This is our core principle: the content you create on Song Maestro is yours. You retain all right, title, and interest in and to the inputs you provide (your lyrics, text, prompts, reference audio, images, and creative direction) and the output you generate, subject to the considerations in this Section 4. We do not claim ownership over your content, and you may download, export, share, license, sell, or delete it at any time.

4.2 AI-Generated Output and Third-Party Providers Song Maestro uses third-party generative AI services (Suno, TemPolor, LTX Video, and Mureka). The rights attached to AI-generated output depend on:

• The terms of the underlying provider for the model that produced it
• Your subscription tier on Song Maestro
• Whether you added meaningful human creative direction

You are responsible for confirming the commercial rights attached to any specific track or clip under the relevant provider's terms before you distribute or monetize it. Where a provider grants you commercial rights to its output, Song Maestro adds no additional claim on that output.

4.3 Your Representations By submitting content to Song Maestro, you warrant that:

• You own or have all necessary rights to your inputs (lyrics, melodies, reference audio, images, etc.)
• Your inputs and outputs do not infringe any copyright, trademark, privacy, or other right of any third party
• You will not generate content that misappropriates a specific artist's name or likeness

4.4 Limited License You Grant Us To operate the platform, you grant Song Maestro a limited, non-exclusive, royalty-free, worldwide license to store, transmit, process, render, display, and back up your content solely to provide and improve the Services to you. This license ends when your content is deleted (except for residual backups we purge on our standard retention schedule). We never sell your content, and we do not use your private prompts or generated content to train third-party AI models without your explicit consent.

4.5 Showcase and Public Sharing If you opt in to the Showcase or otherwise publish content publicly on Song Maestro, you grant a limited license to display that public content within the platform with attribution to you. You can revoke this at any time by removing the content from Showcase.

4.6 Copyrightability of AI Output YOU ACKNOWLEDGE THAT:

• Current U.S. Copyright Office guidance holds that works generated entirely by AI without human authorship may not be registrable for copyright
• Works with sufficient human creative involvement (your original lyrics, detailed direction, editing, and iteration) may be eligible for protection
• Song Maestro provides tools that encourage and capture human creative direction, including the Creative Ownership Score
• The legal landscape for AI content is evolving; consult qualified counsel for commercial projects

4.7 Our Intellectual Property Song Maestro retains all rights to the platform itself, including:

• Platform software and code
• User interface and design
• Documentation and guides
• Trademarks and branding
• Pre-built templates and presets

5.1 Copyright Policy Song Maestro respects intellectual property rights and requires users to do the same. We have adopted the following policy:

• We will respond to valid DMCA takedown notices
• We may terminate accounts of repeat infringers
• We provide copyright-safe prompting tools and education
• We monitor for obvious copyright violations

5.2 DMCA Notice and Takedown If you believe your copyrighted work has been infringed, please submit a DMCA notice containing: - Identification of the copyrighted work - Identification of the infringing material and URL - Your contact information - Statement of good faith belief - Statement under penalty of perjury of accuracy - Your physical or electronic signature

5.3 Counter-Notice If you believe content was wrongly removed, you may submit a counter-notice with: - Identification of removed material - Statement under penalty of perjury of mistake - Your contact information and consent to jurisdiction

5.4 User Responsibilities - You are responsible for ensuring you have rights to all inputs - You must not generate covers of copyrighted songs without licenses - You must not use artist names in prompts (use descriptive terms) - You must not upload copyrighted material you don't own - You must respect third-party rights in all creations

6.1 No Legal Advice The documentation and guides provided by Song Maestro (including copyright guides, prompting tips, and legal information) are for educational purposes only and do not constitute legal advice. You should consult with qualified legal counsel for advice on your specific situation.

6.2 AI Content Disclaimer YOU ACKNOWLEDGE AND AGREE THAT: - AI-generated content is provided "as is" without warranties - We do not guarantee content is copyrightable or protectable - We do not guarantee content is free from third-party claims - Legal status of AI content is evolving and uncertain - You assume all risks related to AI content usage

6.3 Service Disclaimer SONG MAESTRO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: - Implied warranties of merchantability - Fitness for a particular purpose - Non-infringement - Accuracy or reliability - Uninterrupted or error-free operation

6.4 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: - Song Maestro shall not be liable for any indirect, incidental, special, consequential, or punitive damages - Our total liability shall not exceed the amount you paid in the last 12 months (or $100 if free user) - We are not liable for actions of third-party AI providers (Suno, LTX, Mureka) - We are not liable for your use of generated content - We are not liable for copyright disputes or legal claims arising from your content

6.5 Indemnification To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Song Maestro and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs (including reasonable attorneys' fees), and expenses arising out of or relating to:

• Your content or your use of the platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property and privacy rights
• Any claim that content you submitted infringes a third party's rights

This indemnification survives termination of your account.

7.1 Data Collection We collect and process: - Account information (email, name) - Usage data and generation history - Payment information (processed securely by third parties) - Technical data (IP address, browser type, device info)

7.2 Data Usage Your data is used to: - Provide and improve services - Process payments and manage subscriptions - Communicate about service updates - Detect and prevent fraud - Comply with legal obligations

7.3 Data Sharing We do not sell your personal data. We share data only with: - AI providers (Suno, LTX, Mureka) as necessary for generation - Payment processors for transactions - Service providers for platform operations - Legal authorities when required by law

7.4 Your Rights Depending on your jurisdiction, you may have rights to: - Access your personal data - Correct inaccurate data - Delete your data - Export your data (portability) - Opt-out of certain processing

8.1 Subscription Terms - Subscriptions are billed monthly or annually - Prices may change with 30 days notice - Cancellations are effective at end of billing period - No refunds for partial billing periods - Auto-renewal unless cancelled

8.2 Credits and Usage - AI generations consume credits based on type - Credit costs vary by model and quality - Unused credits may expire (see subscription details) - Additional credits available for purchase - Credit purchases are non-refundable

8.3 Payment Processing - All payments processed securely by third parties - We do not store full credit card information - You authorize recurring charges for subscriptions - Failed payments may result in service suspension - Contact support for payment issues

9.1 Termination by You You may terminate your account at any time by: - Using account deletion in settings - Contacting customer support - Deleting the mobile app (does not delete account)

9.2 Termination by Us We reserve the right to suspend or terminate accounts for: - Violation of these Terms - Copyright infringement - Fraudulent or abusive behavior - Non-payment of fees - Security risks or threats

9.3 Effect of Termination Upon termination: - Your license to use the platform ends - You may lose access to generated content - Paid subscriptions end (no partial refunds) - We may retain data as required by law - Provisions of these Terms that should survive termination shall do so

10.1 Modifications We reserve the right to modify these Terms at any time. Changes will be effective upon posting unless otherwise specified.

10.2 Notice For material changes: - We will provide 30 days notice via email or in-app notification - Continued use after changes constitutes acceptance - If you disagree, you must stop using the platform
